Article I: NAME:
The name of this organization will be The Rivergate Wheelers ATV
Club, Inc.
Article II: PURPOSE:
The purpose of the Rivergate Wheelers is to promote ATVing through
public awareness, respect for the environment and safe riding. The
Rivergate Wheelers is a family oriented organization that enjoys ATV riding
and strives toward the goal of cooperation with other groups for the purpose
of developing “shared trails” to expand the present Rivergate Trail throughout
the North Country. We require the registration of all ATVs.
Any and all ATVs used at club functions must be insured. We expect
all members to obey all New York State Laws, which govern ATVs.
Article III: MEMBERSHIP & DUES:
REGULAR MEMBERSHIP ($15.00): Single member over 21
years of age.
FAMILY MEMBERSHIP ($25.00): Household of Immediate Family to
include spouse and children under the age of 21.
HONORARY MEMBERSHIP: Non-voting member inducted with a two-thirds
majority vote brought before a General Membership Meeting.
Article IV: MEMBERSHIP RIGHTS & RESPONSIBILITIES:
All prospective members must fill out a membership application.
Membership starts with the payment of dues following a two-thirds majority
vote brought before a General Membership Meeting. Each member is
entitled to one vote, in the case of family membership, anyone over the
age of 21, has one vote. Members under
the age of 21 must have written parental consent
and be supervised at all Rivergate Wheelers ATV Club functions. A member
may resign at anytime, or have their membership revoked by a two-thirds
majority vote brought before 2 consecutive General Membership Meetings.
Article V: EXECUTIVE OFFICES AND DUTIES:
The elected officers of this club will be President, 1st.
Vice President, ( Deleted 2nd. Vice President)
Secretary and Treasurer. These officers shall have the authority
to act on behalf of the Rivergate Wheelers ATV Club, Inc. Expenditures
over $100.00 will only be exercised after
a two-thirds majority vote brought before a General Membership Meeting.
The President shall have the primary responsibility for the legal and financial
affairs of this corporation.
The PRESIDENT shall preside over monthly General Membership Meetings.
The President shall seek member appointment to committees as necessary,
as well as assist in the promotional interest of the Rivergate Wheelers
ATV Club, Inc. The President shall only vote in the event a tiebreaker
is needed.
The 1st. VICE PRESIDENT shall perform
all the duties of the President in his absence. It is the responsibility
of the 1st. Vice President to keep current
on the affairs of the Rivergate Wheelers and to assist the President when
asked to.

duties of the President in the absence of the PRESIDENT and the 1st VICE
PRESIDENT. It is the responsibility of the 2nd. Vice President to
keep current on the affairs of the Rivergate Wheelers and to assist the
President when asked to. ) The SECRETARY/TREASURER
will perform record keeping, correspondence, mailings, advertising and other
related duties that normally fall under this office, and

have the primary responsibility of the financial
records for the club. Will collect and record all monies, payable
the Rivergate Wheelers ATV Club, Inc., and provide at the monthly General
Membership Meeting a current financial report. The financial records
of the club will be subjected to an audit at least annually as directed
by the President. A disinterested party chosen by a two-thirds majority
vote brought before a General Membership Meeting will conduct this audit.
All Executive Offices shall be elected by vote, with nominations being
conducted during the November General Membership Meeting and elections
conducted during the December General Membership Meeting, with terms starting
in January.
The Appointed Officers of this club will be Historian,
Webmaster and Spicemaker. Appointed Officers are appointed by the elected
officers of the club.
The HISTORIAN will develop and maintain the portion of the Rivergate Wheelers
Website dealing with Trail and Club history, maintain photos of club activities
for "Riding With Rivergate" and provide, at least once a year, a slide show of
that years club activities.
The WEBMASTER will develop and maintain the club's website, secure the Domain
name and subsequent renewals, and secure web space sufficient to the club's
needs.
The SPICEMAKER will keep safe the club's secret spice recipe and process for
spicing "Rivergate Chicken" and maintain a supply of ingredients necessary to
meet the needs of the club. The SPICEMAKER must insure quality and consistency
of the spice during manufacture. All officers will serve terms of one (1) year.
All officers of the Rivergate Wheelers ATV Club must be at least
21 years of age with current membership.
Article VI: GENERAL MEMBERSHIP MEETINGS:
General Membership Meetings will be held on the third Monday of each
month at 7PM.
Article VII: BYLAW AMENDMENTS:
These Bylaws may be amended by a two-thirds majority vote brought before
a General Membership Meeting
Article VII: DISSOLUTION:
This corporation may be dissolved by a two-third vote of the complete
general membership, when determination by the said group that the corporation
is no longer viable or effective in achieving it’s purpose. Upon
dissolution and after satisfying all legal and financial obligations and
liabilities, the Executive Officers shall donate all remaining assets of
the Rivergate Wheelers ATV Club, Inc. to a not for profit organizations
of the same purpose. |
